Vedder is pleased to announce that it represented HALO AirFinance ("HALO"), a joint venture between GA Telesis, LLC and Tokyo Century Corporation, as issuer’s counsel in connection with HALO AirFinance 2026-1 ("HALOAN 2026-1"), a $390.2 million aviation loan asset-backed securitization and the first ABS issuance from the HALO platform.

HALOAN 2026-1 issued four classes of fixed-rate secured notes rated by KBRA, with a legal final maturity of August 2041: $295.37 million of Class A Notes (rated "AA"), $35.67 million of Class B Notes (rated "A"), $28.62 million of Class C Notes (rated "BBB") and $30.54 million of Class D Notes (rated "BB-"). Proceeds of the offering are being used to acquire a portfolio of 33 loans with an aggregate remaining balance of approximately $427.2 million and a weighted average remaining loan term of approximately 3.6 years. The underlying loans are secured by 14 narrowbody aircraft, two widebody aircraft, two freighter aircraft and 15 engines, utilized by 21 operators across 14 jurisdictions.

"We were pleased to guide HALO through its inaugural securitization, a landmark transaction that reflects the strength of the platform GA Telesis and Tokyo Century have built together," said Geoffrey R. Kass, Shareholder of Vedder's Global Transportation Finance team. "This transaction further reflects Vedder's position as a market leader in aviation loan ABS, and we look forward to continuing to help clients like HALO access the capital markets."

In addition to Mr. Kass, the Vedder team was led by Global Transportation Finance Shareholders Kevin A. MacLeod and Joel R. Thielen with Associates Jeffrey Landers, Sophia Sahagun and Sofia Sequeira Murillo.
